Terms and Conditions

Our guarantee

Lingua Nova Trade, MB provides a clear guarantee of quality and lead time.

If you are not satisfied with the work, we will provide another version as soon as possible at our expense. If the second version is also unacceptable, you are entitled to a partial or full refund. The conditions and procedure for challenging the work are described below.

If the delivery is late and the amount of the delay expressed in working days is more than one third of the total translation time budget expressed in working days (i.e. 33 % late), and if the delay is directly and solely attributable to Lingua Nova Trade, MB we will refund up to 50 % of the cost of the work.

General Terms and Conditions of Sale

These general terms and conditions of sale apply to all work performed by Lingua Nova Trade, MB for its clients.

All translation requests must be accompanied by an order including the price set by the parties. The order must be sent to us by email or website form; we reserve the right to refuse to carry out the work without an order.

Technical documents must be accompanied by reference documents provided by the client and/or drawings or diagrams to enable a better understanding of the documents.

The cost of translation shall be calculated taking into account the number of words in the source language, unless otherwise agreed in advance in writing.

Lingua Nova Trade, MB shall not be held liable for any reason whatsoever for translations which are not stylistically satisfactory. Particularly for advertising and promotional material, the services of Lingua Nova Trade, MB shall be limited to simple translation, unless expressly requested. Lingua Nova Trade, MB shall not be liable for drafting the translated text in, for example, an advertising style that is different from the source text. Our liability shall be limited to the amount of the invoice.


Complaints shall only be taken into consideration if received by registered mail with return receipt within seven days of delivery of the job(s) or part of the job(s). All complaints must be accompanied by the original documents, disputed translations, and a letter of explanation. Once the above time period has elapsed, the translation shall be considered correct.
In the event of an unsatisfied client where a complaint is made within the established deadlines, Lingua Nova Trade, MB agrees, at its own expense, to deliver an edited version of the disputed translation within a timeframe equal to one third of that previously established for the job, plus one business day. This second document shall be used to judge the quality of the translation in order to establish the amount of reimbursement, at Lingua Nova Trade, MB own discretion.
Lingua Nova Trade, MB shall not be held liable for any delays caused by malfunctioning faxes, modems, email and/or other mail or carriers, not directly controlled by Lingua Nova Trade, MB.

In the event of late delivery where the time late is more than one third of the established delivery time, and in the event that the delay is directly and solely attributable to Lingua Nova Trade, MB, a reimbursement shall be paid, to be established between the parties, up to an amount of 50% of the job delivered late.
Defects present in one part of the translation shall not be grounds, for any reason whatsoever, for questioning the entire translation. Lingua Nova Trade, MB reserves the right to make modifications to the translation in such case.
Only written agreements between the parties shall be taken into consideration. The Court of Vilnius shall have jurisdiction for all disputes. In the event of failure to pay, all representation of partial or total reproduction of such translation shall be deemed illegal. Lingua Nova Trade, MB reserves the right to request immediate payment of the translation and compensation for copyright, where applicable, from a client who uses unpaid material.

USING OUR SERVICES

If You are entering into this TOS on behalf of a company or other legal entity, You represent that You have the legal authority to bind the legal entity to this TOS, in which case “You” or “Your” means that entity. If You do not have this authority, or if You do not agree with the terms and conditions of this TOS, and You may not use the Service or any Service related materials. You represent that you are 18 years of age, or of the age of majority in your place of residence or jurisdiction.

You agree to:

  • Be responsible for the activity that happens in connection with your Lingua Nova Trade account

  • Keep your password confidential

  • Comply with any policies made available to you by Lingua Nova Trade

  • Not abuse or conduct illegal activity using our Service

  • Not contact or attempt to contact Translators outside of the Platform that Lingua Nova Trade provides for communication

  • Not defame or harass Lingua Nova Trade, or its employees, contractors, Customers, or Translators

  • Not create multiple Lingua Nova Trade accounts for any reason

Lingua Nova Trade may suspend or terminate your access to the Service or an Order if you do not comply with this TOS or if we suspect misconduct, fraudulent activities or payment, or a violation of this TOS, with or without notice.

Lingua Nova Trade may modify or suspend the Platform or Service, at any time for any reason.

If You are a Translator, or applying to become a Translator, this TOS also applies to You. Approved Translators are also subject to the Lingua Nova Trade Translator Agreement.

ORDERS, APPROVAL, RETURN POLICY

Before proceeding with an Order, you must register as a Customer and create a Lingua Nova Trade account. You agree to keep your account information updated and accurate at all times. Any personal information you provide will be subject to Lingua Nova Trade's privacy policy.

Ordering. Customer may initiate an Order by providing all required information through the website, including the quality level of your translation as described in Lingua Nova Trade's Quality Policy, MB.

Payment.

Customer Materials. Customer is responsible for providing the Customer Materials to be translated, materials describing the context of the translation, and all other necessary materials (glossary, etc.) when placing an Order.

1. Submission of Text for Translation: Before initiating a translation project, the client must upload the text to be translated through our designated platform or by email.

2. Price Offer: Upon receiving the text for translation, Lingua Nova Trade will assess the number of words and provide a price offer to the client based on our pricing structure. The price offer will be communicated to the client for approval.

3. Acceptance of Price Offer: The client confirms their acceptance of the quotation by email or through our designated platform. Lingua Nova Trade will acknowledge the acceptance and proceed with generating an invoice.

4. Invoice Generation: Following your acceptance of the price offer, Lingua Nova Trade will generate an invoice detailing the total amount due for the translation service. The invoice will include payment instructions and a due date.

5. Prepayment Requirement: All invoices issued by Lingua Nova Trade require 100% prepayment before translation work commences. No translation work will be initiated until payment is received in full.

6. Payment Method: Payments to Lingua Nova Trade must be made using the methods specified in the invoice, which may include bank transfer, credit card, or any other agreed-upon payment method.

7. Commencement of Translation: Upon receipt of the full prepayment, Lingua Nova Trade will begin the translation of the materials submitted by the client.

8. Refunds and Cancellations: Refunds or cancellations may be subject to the terms and conditions outlined in our refund policy. Lingua Nova Trade reserves the right to withhold a portion of the prepayment to cover any incurred costs or damages resulting from the cancellation.

9. Dispute Resolution: Any disputes regarding payments shall be resolved through amicable negotiations between the parties involved. In the event that a resolution cannot be reached, both parties agree to submit to the exclusive jurisdiction of the courts in Vilnius.

 

10. Amendments: Lingua Nova Trade reserves the right to amend these Terms at any time without prior notice. The most current version of the Terms will be made available on our website and will supersede all previous versions.

Cancellations

The customer can cancel any order if the project is not yet taken up by the translator. It is not uncommon for a translator to start working on an order as soon as it is placed. To attempt to cancel an order, the customer can click the "Message" button on the "Home" page while waiting for a translator or contact Lingua Nova Trade, MB support at info@linguanovatrade.com to see if the order can be cancelled. If the order has been accepted by the translator, the order cannot be cancelled and no money will be refunded.

Liability

Lingua Nova Trade, MB and/or related suppliers do not acknowledge any guarantee or condition related to the services offered, including all implicit guarantees and conditions regarding salability, suitability for a particular purpose, ownership, and non-violation of third-party rights. Lingua Nova Trade, MB and/or related suppliers shall not be liable, for any reason whatsoever, for special, indirect, or consequential damages or for any other damages of any type resulting from the loss of rights to use, loss of information, or lost profits, whether they result from the performance of a contract, negligence, or other detrimental actions, deriving from or in some way connected with the services of Lingua Nova Trade, MB.

Harmful Content
Lingua Nova Trade, MB maintains a high standard for the safety of its workforce, including staff and freelancers.
We do not support the propagation of hateful and derogatory content, including violent and graphic material, and reserve the right to cancel any order deemed violent or inappropriate.
Lingua Nova Trade, MB recognises that clients may request to translate potentially harmful content for educational or professional purposes, including graphic, violent or sensitive material. To guarantee the safety of our staff and of the Community of freelancers working with us we ask that the client supplies information on such content, flagging potential triggering material upon placing the order request.
Lingua Nova Trade, MB and its clients shall not discriminate against freelancers on the grounds of race, ethnicity, social status, religion or belief, political or philosophical opinions, language, gender identity, sexual orientation, disability, neurodivergence, age, geographical location, or any other status.

Modifications to the Service and Prices

Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

TRANSLATORS; CONTRACTORS.

Lingua Nova Trade,MB may use and retain third party contractors (such as Translators) to provide the Service to you. As such, you agree that Lingua Nova Trade,MB may sublicense its rights under this TOS to third parties to act on Lingua Nova Trade,MB behalf, provided that such third parties are contractually bound by terms no less protective of Customer than this TOS. Lingua Nova Trade,MB is solely responsible for paying and resolving all disputes with third party contractors and Translators.

CLIENT MATERIALS DISCLOSURE

We disclose the Client Materials to potential Translators and contractors, in order to provide you the Service (e.g., previewing the content in order to decide whether to engage the Order) and as set forth in Section below.

You are solely responsible for editing or removing any confidential or personally identifiable information in the Client Materials if you do not wish to disclose that information.
